The purpose of this Conflict of Interest Policy is to protect the interests of Army of Compassion Community Outreach (A.O.C.C.O.) when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer, director, committee member, employee, volunteer, or key stakeholder of the organization. This policy is intended to supplement, but not replace, any applicable state and federal laws governing conflicts of interest applicable to nonprofit and charitable organizations.
Any director, officer, committee member, employee, volunteer, or other individual with decision-making authority who has a direct or indirect financial or personal interest, as defined below, is considered an Interested Person.
A person has a financial interest if the person has, directly or indirectly, through business, investment, family, or other relationships:
Compensation includes direct and indirect remuneration, gifts, favors, discounts, services, or benefits of substantial value.
Any Interested Person must disclose the existence of any actual, potential, or perceived conflict of interest and all material facts to the Board of Directors or designated committee considering the proposed transaction or arrangement.
Disclosure shall occur as soon as the conflict becomes known.
After disclosure of the financial or personal interest and all material facts, the Interested Person shall leave the meeting while the determination of a conflict is discussed and voted upon.
The remaining Board members shall decide whether a conflict of interest exists.
The Chairperson or Board may appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.
The Board shall exercise due diligence to determine whether A.O.C.C.O. can obtain a more advantageous transaction or arrangement from another source under circumstances that would not create a conflict of interest.
If a more advantageous arrangement is not reasonably possible, the Board shall determine by majority vote whether the transaction or arrangement is:
